Woot It – Terms of Service
Please read these Terms of Service carefully before using Woot It.
Welcome to Woot It, a software-as-a-service platform designed for educational institutions, including schools, colleges, and related organizations. These Terms of Service (“Terms”) govern your access to and use of the Woot It platform, including all modules (SIS, LMS, finance/tuition, CRM, communication, attendance, and any additional features), websites, mobile applications, APIs, and related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of a school or organization, you represent that you have authority to bind that organization, and “you” refers to both the individual and the organization.
If you do not agree to these Terms, do not use the Service.
1.Definitions
For the purposes of these Terms:
- “Woot It” / “we” / “our” refers to the Woot It platform and its operating entity.
- “School” or “Institution” means a customer organization that licenses Woot It to manage academic, administrative, financial, or communication processes.
- “User” means any individual who accesses the platform, including administrators, teachers, staff, parents, and students.
- “Data” means any information submitted, stored, or generated through the Service, including personal data, academic records, financial records, and messages.
- “Tenant” means a distinct School account within Woot It’s multi-tenant environment.
2.Acceptance of Terms
By using the Service, you confirm that you are:
- At least 18 years old, or using the system under the supervision of a School or legal guardian.
- Legally permitted to access student information as determined by your School’s policies.
- Authorized to use Woot It for legitimate educational or administrative purposes.
Schools are responsible for ensuring their Users comply with these Terms.
3.Account Registration and Security
3.1 Account Creation
A School must create a Woot It tenant before its Users can access the system. Users may join through:
- Invitation by the School;
- Email-based registration; or
- Single Sign-On (Google, Microsoft, or other supported identity providers).
3.2 Account Responsibility
You are responsible for:
- Maintaining accurate profile information;
- Securing your login credentials; and
- All activity performed under your account.
Woot It is not liable for unauthorized access caused by your failure to protect login information.
3.3 Access Levels
The School determines user roles and permissions (for example, Admin, Teacher, Accountant, Parent). Woot It is not responsible for incorrect permissions configured by the School.
4.Use of the Service
4.1 Acceptable Use
You agree not to:
- Modify, reverse engineer, or copy the platform;
- Use Woot It to distribute harmful, illegal, or abusive content;
- Access or attempt to access data belonging to another School or user;
- Interfere with the performance or security of the platform; or
- Misuse communication tools (WhatsApp, email, SMS, or others) for spam or harassment.
4.2 Educational Purpose
Woot It is designed for academic, administrative, financial, and communication workflows. Use outside of these legitimate purposes is prohibited.
5.School Responsibilities
Schools must:
- Obtain all legally required consents for processing student and family data;
- Ensure data accuracy and proper use of platform features;
- Manage user permissions and access control;
- Comply with local educational, privacy, and financial regulations; and
- Inform parents and students of the data processed within Woot It.
Schools agree that Woot It acts as a data processor, handling data solely on behalf of and under instruction from the School.
6.Data Privacy and Protection
6.1 Privacy Policy
Use of the Service is governed by our Privacy Policy, available at: https://www.wootit.cr/wootitx/app/privacypolicy.html . This policy describes, among other things:
- What data Woot It collects;
- How data is used and protected; and
- User rights concerning their data.
6.2 Data Ownership
Schools retain ownership of all Data they upload or generate. Woot It does not sell or share personal data with third parties except as described in the Privacy Policy or as required by law.
6.3 Backups and Security
Woot It implements industry-standard security measures, which may include encryption, secure authentication, regular backups, and access controls. However, no system is completely secure, and Schools are responsible for maintaining secure devices and networks used to access the Service.
7.Third-Party Integrations
Woot It may integrate with external services, including but not limited to:
- Google Workspace and Google Classroom;
- Microsoft Entra ID and related services;
- WhatsApp Business API; and
- Cloud hosting and infrastructure providers such as AWS, Cloudflare, or others.
These services have their own terms and policies. Your use of those integrations is subject to their respective agreements. Woot It is not responsible for issues caused by third-party services.
8.Billing, Payments, and Subscriptions
8.1 Subscription Model
Schools license Woot It on a subscription basis. Fees may depend on student enrollment, modules activated, usage of storage or messaging, or additional services contracted.
8.2 Invoices and Payment Terms
Invoices must be paid within the timeframe specified in each agreement or invoice. Late or missing payments may result in:
- Feature limitations;
- Suspension of access; or
- Restrictions on data export until payments are brought up to date.
8.3 No Refund Policy
Unless otherwise agreed in writing, subscription fees are non-refundable.
9.Downtime, Availability, and Support
Woot It strives to provide high uptime and reliable performance. However, we do not guarantee uninterrupted access to the Service.
The Service may be temporarily unavailable due to, for example:
- Maintenance or planned updates;
- Unplanned technical issues;
- Internet provider or network outages; or
- Events outside our reasonable control.
Support channels may include email, chat, WhatsApp, or ticket-based systems, depending on the plan or agreement in place with the School.
10.Intellectual Property
10.1 Ownership
All intellectual property related to the platform—including software, user interface design, code, trademarks, logos, and documentation—belongs to Woot It or its licensors.
Users and Schools receive a limited, revocable, non-transferable license to access and use the Service in accordance with these Terms.
10.2 Restrictions
You may not:
- Copy or reproduce Woot It’s software or user interface;
- Create derivative works based on the Service;
- Resell or sublicense access to the Service; or
- Use Woot It to build or assist in building competing products.
11.Termination
11.1 By the School
A School may terminate its subscription by providing written notice to Woot It in accordance with the applicable agreement. Before termination, Schools may request a data export, subject to technical feasibility and any applicable fees.
11.2 By Woot It
We may suspend or terminate access to the Service if:
- A School or User violates these Terms;
- Payments are overdue; or
- Illegal, fraudulent, or harmful activity is detected.
11.3 Data Retention After Termination
Upon termination, Woot It may retain certain records as required by law or for legitimate business purposes. Other data will be deleted or anonymized within a reasonable period. Backup copies may retain fragments of data for a limited time.
12.Limitation of Liability
To the maximum extent permitted by applicable law:
- Woot It is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.
- Woot It is not liable for data inaccuracies, configuration errors, or misuse of the platform by Schools or Users.
- Woot It does not guarantee uninterrupted or error-free operation of the Service.
Your exclusive remedy for dissatisfaction with the Service is to stop using the Service. In any case, Woot It’s total aggregate liability shall be limited to the amount paid by the School for the Service during the twelve (12) months preceding the event giving rise to the claim.
13.Indemnification
Schools and Users agree to indemnify, defend, and hold harmless Woot It and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in connection with:
- Misuse of the Service;
- Unauthorized access to or use of Data;
- Violation of any law or regulation; or
- Breach of these Terms.
14.Changes to the Service and Terms
We may update the platform, introduce new features, or modify these Terms from time to time. If changes are material, we will provide notice by email, through the Service, or by updating the “Last updated” date at the top of these Terms.
Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
15.Governing Law
These Terms are governed by and construed in accordance with the laws of Costa Rica, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Costa Rica, unless otherwise agreed in writing.
